1. Acceptance of Terms

Welcome to Tenant Buddy. By accessing or using our property management software and related services (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Tenant Buddy ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Service Description and Feature Accuracy

Important Notice Regarding Marketing Content

The features, capabilities, and functionality described on our marketing website (tenantbuddy.ca) may not fully reflect the current state of the Tenant Buddy application. While we make our best efforts to keep marketing content accurate and up-to-date, there may be discrepancies between what is described on the marketing site and what is actually available in the software.

Features mentioned on the marketing site may be:

  • Currently in development and not yet available
  • Planned for future releases
  • Available only on certain subscription plans
  • Subject to change or modification
  • Described in an aspirational or future-state manner

We strongly recommend that you test the actual Tenant Buddy application during your trial period or contact our support team at [email protected] to verify feature availability before making purchasing decisions.

Tenant Buddy provides property management software designed to help Canadian landlords and property managers organize their rental operations. The Service includes features for property tracking, tenant management, invoicing, payment recording, lease management, and financial reporting.

We are continuously improving and updating our Service. Features, pricing, and availability are subject to change without notice. We do not guarantee that any particular feature or functionality will remain available or unchanged.

3. Account Registration and Eligibility

To use Tenant Buddy, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Provide accurate, current, and complete registration information
  • Maintain and update your account information
  • Keep your password confidential and notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account. You agree not to share your account credentials with others or allow unauthorized access to your account.

4. Subscription Plans and Payments

4.1 Subscription Plans

Tenant Buddy offers various subscription plans with different features and pricing. The specific features available to you depend on your chosen subscription plan. Plan details, pricing, and feature availability are subject to change.

4.2 Billing and Payment

By subscribing to Tenant Buddy, you agree to pay all fees associated with your chosen subscription plan. Payments are processed through secure third-party payment processors. You authorize us to charge your designated payment method on a recurring basis according to your billing cycle.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will notify you before charging your payment method for renewal.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial billing periods, except as required by applicable law or at our sole discretion.

4.5 Free Trials

We may offer free trial periods for new users. At the end of the trial period, your payment method will be charged automatically unless you cancel before the trial ends. Trial eligibility is at our discretion and may be limited to one per user or organization.

5. Acceptable Use Policy

You agree to use Tenant Buddy only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Impersonate another person or entity
  • Harass, abuse, or harm other users
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels

We reserve the right to suspend or terminate your account if you violate this Acceptable Use Policy.

6. Your Content and Data

6.1 Your Responsibility for Content

You retain all rights to the data you upload to Tenant Buddy (property information, tenant data, financial records, documents, etc.). You are solely responsible for the accuracy, quality, and legality of your data and the means by which you acquired it.

6.2 License to Use Your Content

By uploading data to Tenant Buddy, you grant us a limited license to use, store, process, and display your data solely for the purpose of providing the Service to you. We will not share, sell, or use your data for any other purpose except as described in our Privacy Policy or with your explicit consent.

6.3 Data Backup

While we perform regular backups of our systems, you are responsible for maintaining your own backups of critical data. We are not liable for any loss of data due to system failures, security breaches, or other circumstances.

6.4 Privacy Compliance

You are responsible for complying with all applicable privacy laws (including PIPEDA and provincial privacy legislation) when collecting and managing tenant information through Tenant Buddy. You must obtain necessary consents and provide required privacy notices to your tenants.

7. Intellectual Property Rights

The Service, including all software, text, graphics, logos, images, and other content, is owned by Tenant Buddy Inc and protected by Canadian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. This license does not include any right to resell, redistribute, or create derivative works based on the Service.

8. Disclaimers and Limitations of Liability

8.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements

8.2 Not Legal, Tax, or Financial Advice

Tenant Buddy is a software tool designed to help organize property management tasks. It does not provide legal, tax, accounting, or financial advice. The reports and information generated by the Service are for informational purposes only.

You should consult with qualified legal, tax, and accounting professionals regarding:

  • CRA tax filing and Form T776 compliance
  • Provincial landlord-tenant laws and regulations
  • Lease agreements and eviction procedures
  • Financial reporting and bookkeeping practices
  • Any other legal or regulatory compliance matters

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENANTBUDDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Reputational harm
  • Cost of substitute services

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tenant Buddy, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • The data you upload or manage through the Service

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Abuse of the Service or our support team
  • Discontinuation of the Service

Upon termination, your right to use the Service will immediately cease. You may export your data before termination. We are not obligated to retain your data after termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the Arbitration Act (Ontario), except where prohibited by law.

Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service. Your continued use of the Service after such notice constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. General Provisions

13.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.3 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.4 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements explicitly incorporated by reference, constitute the entire agreement between you and Tenant Buddy regarding the Service.
